History of ANG Auto Ltd.

The Comp. was originally incorporated on 24-07-91 as a Private Limited Comp. under the name of ANG EXPORTS PVT. LIMITED & was converted into a Public Limited Comp. upon passing a Special Resolution by members in the Extraordinary General Meeting held on 29-10-94 by obtaining a Fresh Certificate of Incorporation dated 02-12-1994 from the Registrar of Companies, National Capital Territory of Delhi and Haryana, New Delhi.

The Comp. has been manufacturing & exporting auto components of Air Brake Systems of Trucks & Trailers namely; Brake Rollers & Pins & also Hot Forged Bolts to some of USA based Companies viz, SIRCO Industries Inc., Reynolds Fasteners Inc., Omni Inc., which are amongst the leading distributors & suppliers of auto components in CE segment & the replacement market.

Soon after incorporation, the company, as merchant exporter, started exporting the auto components & other engineering items by purchasing the same from vendors to some of USA based companies. Subsequently, the Comp. had set up a unit in a licensed premises at 90, Okhla Industrial Estate, New Delhi - 20 [under licence agreement from M/s. Allied Fasteners Pvt. limited the original allottees.s] for manufacture & export of auto components namely; Brake Rollers and Pins & also Hot Forged Bolts & commenced Commercial production of Hot Forged Bolts in May 1993 & of Brake Rollers/Pins in August 1993. These cmponents were engineered in-house by Comp. as per the required standards & specifications of overseas buyers.

The Comp. has entered into an agreement on 15-03-1993 with M/s. Swan Consultants, USA by appointing them as Marketing Consultant to identify & procure Export orders for Comp. from USA in engineering items. Since then, the Comp. has been exporting Brake Rollers and Pins & Hot Forged Bolts to the USA based companies as stated above alter their acceptance of quality of products.

The Comp. had discontinued the manufacture of Hot Forged Bolts in May 1994 due to shortage of space in the existing licensed factory premises & with a view to concentrate on the smooth production of Brake Rollers and Pins which had a higher demand from the overseas buyers. However, the Comp. continues to procure Hot Forged Bolts from vendors on job work basis by supplying the raw material [steel roundss] & packing the same at their own facility for export in order to maintain its presence in the export market.

There was no adverse event affecting the operations of Comp. such as, shut down of plant on Acc. of labour disputes, pollution control problems & utility supplies etc. since commencement of commercial production.

The Comp. already has orders on hand worth about Rs.53O.00 lacs for export of Brake Rollers/Pins. Hot Forged Bolts & Hitch Bolls from USA based companies as detailed hereunder:-

The Comp. has now proposed an expansion project for production of auto components namely; Brake Rollers and Pins already manufactured & exported by it & also to take up manufacture of additional items of auto components such as slack adjusters of brake systems, brake S-Cam shafts, machined hitch balls & hot forged bolts at NOIDA, [U.P.s].
