History of Adhunik Metaliks Ltd.

Our Comp. was incorporated on November 20, 2001 as Neepaz Metaliks Private Limited under the provisions of Companies Act, 1956 with its registered office at 14, N.S. Road, Kolkata 700 001. Subsequently, the Comp. converted into a public Comp. pursuant to a special resolution passed on February 18, 2004 & filed the statement in lieu of prospectus as required under the section 44[2s] [bs] of the Companies Act , 1956. The name of Comp. was changed from Neepaz Metaliks Limited to Adhunik Metaliks Limited pursuant to a special resolution passed by shareholders of Comp. at a meeting held on July 22, 2005.

As on the date of filing this Draft Red Herring Prospectus, our Promoters hold 5,16,85,642 Equity Shares of our Comp. representing 80.51 of our pre - Issue issued equity capital & the Promoter Group holds 46,83,770 Equity Shares of our Comp. representing 7.29 of our pre - Issue issued equity capital. As on the date of filing this Draft Red Herring Prospectus, six of Directors on our Board represent the Promoters, 1 of Directors is an executive director & 3 of Directors are independent directors.
