History of Apeejay Tea Ltd.

YEAR EVENTS 1977 - The Comp. was incorporated on 30th June, as a private limited company, it was converted into a public limited Comp. on 28th November. The Comp. owns 8 estates, situated in Assam. Shares subscribed for by signatories to the Memorandum of Association.

1979 - 22,20,000 shares reserved for allotment at par to Assam Frontier Tea Holding Ltd., of U.K. to be credited as fully paid up as part consideration for transfer of their undertaking to the Company; 60,000 shares reserved for allotment to financial institutions [20,000 each to LIC, GIC & UTIs]. 59,988 shares reserved for subscription in cash at par by employees, working directors, etc., 6,60,000 shares offered at par for public subscription in May.

1984 - New plantations of high yielding quality clones through modern husbandary & drainage systems were put out in all the estates.

1989 - The Assam Frontier Tea Co. Ltd., a Comp. incorporated in England was carrying on tea plantation in Assam. It is a subsidiary of Assam Frontier Tea Holdings Ltd., U.K., which itself is a subsidiary of Sime Darby Holdings Ltd.

- As per the scheme of Amalgamation, the total consideration for acquiring the Indian business was to be satisfied by issue at par of 2,20,000 No. equity shares of Rs 10 each to Assam Frontier Tea Holdings Ltd., credited as fully paid-up & the balance consideration of Rs 251.98 lakhs to be retained by Company as interest free unsecured loan from Assam Frontier Tea Holdings Ltd., repayable in five equal annual instalments.

- Eight 625 KVA gensets were added to strengthen the captive power supply. The Comp. undertook massive development projects.

1994 - 30,00,000 bonus equity shares issued in prop. 1:1.

1996 - The Comp. exported its tea to Iran, Russia, Germany & UK.

2006 -Apeejay Tea Ltd has informed that the Board of Directors of Comp. at its meeting held on October 30, 2006 has appointed a new RTA M/s. C B Management Services Pvt Ltd, Kolkata with effect from November 01, 2006 & the existing RTA, M/s. MCS Ltd, ceases to be the RTA of Comp. from the close of business hours as on October 31, 2006.
