History of DSQ Software Ltd.

1992

- The Comp. was Incorporated on 6th March. The Comp. Developed Computer Software. The Comp. was promoted by Dinesh Dalmia & his group companies viz., [is] Ganapati Commerce Ltd, [iis] Ganpati Combines Ltd., [iis] Lexus Exports [Ps] limited & [ivs] Square D Exports.

- The Comp. established a 100% EOU for development of software. The project envisages setting up of complete complement of IBM platform from mainframe to PCs alongwith the latest software applications programme working on IBM platforms. The Comp. will be installing a 65 kbps overseas communication link for ready access to the offshore clients directly.

1994

- 59,97,500 Shares allotted to the Promoters on firm allotment basis. 2,02,500 shares on firm allotment basis to Electronic Corporation of Tamil Nadu Ltd., 38,00,000 Shares to firm allotment to Commonwealth Development Corporation. 50,000 shares were reserved for employees [46,300 shares taken ups]. The remaining 1,02,00,000 shares alongwith the unsubscribed portion of employees quota were offered for public subscription [all were taken ups].

1995

- The Comp. has established is subsidiary called the D Square Software Inc. in US.

1996

- The Comp. developed an Engine Management, anti lock braking system using embedded software technology, a Network management system & an exciting middleware product.

1997

- The Comp. added on prestigious clients like Boeing Corporation. FORD, Ingersoll Rand & Northern Foods.

- DSQ Securities limited & DSQ Software Corp., USA are the subsidiaries of the company.

- The name of Comp. was changed from Square D Software limited to DSQ Software Ltd., from 1st April.

- The Chennai-based DSQ Software limited has established an off-shore development centre for Japan-based Oki Electric Industry Company limited This is the fourth development centre that DSQ has set up, the others being for NEC & NSW of Japan & Nedcar of Netherlands.

- DSQ Software has also set up a centre for MSX International, which is Ford Motor company design partner.

1998

- The company, which has set up dedicated development centres for NEC, NEDCAR & Nippon Systemware, added Japanese OKI Electric Comp. to its roster of clientele in 1997-98.

- DSQ will be investing $ 3 million in its London & Singapore development centres which are wholly-owned subsidiaries.

- On October 12, in an out-of-the-court settlement, the Commonwealth Development Corporation agreed to offload its 19 per cent holding in DSQ Software in favour of company promoters, the Dalmias.

1999

- The Comp. has set up Line of Business [LOBs] groups to ensure focussed business development & functional expertise in specific industry areas.

- The new US centre will be a wholly-owned subsidiary of DSQ & a CEO has been shortlisted.

2000

- The Comp. has signed an MoU with NancAm for creating a joint venture through its equity investment arm viz.BankAmerica International Investment Corporation.

- As part of major push in telecom networking software development, Chennai-based DSQ Software is investing Rs 7 crore in setting up a development center in Delhi.

- The proposed joint venture between DSQ Software Ltd & BankAm International Investment Corporation has been 'put on hold.'

- The Comp. has been selected as a only offshore partner by one of the top 10 insurance companies in the US. The Comp. will be setting up the Overseas Development Centre in Chennai.

2002-DSQ Software Ltd has informed BSE that IDBI vide its letter has withdrawn Mr J Narayanamurthy Nominee Director with effect from July 03, 2002. Brig V M Sundaram has resigned as Director with effect from June 30, 2002. Consequent to the above, the Company Board consist of following members:1. Mr Dinesh Dalmia,2. Mr S G Rajan,3. Mr Rajesh Gupta.The Comp. has further informed that Mr K V Omprakash has resigned as Comp. Secretary effective June 28, 2002.
