History of NetVision Web Technologies Ltd.

The Comp. was incorporated as a Public Limited Comp. in name & style of Moneytech Securities Management Limited on 18th April, 1994 with the Registrar of Companies Gujarat Dadra and Nagar Haveli at Ahmedabad under the Companies Act, 1956 & obtained Certificate of Commencement of Business on 4th May, 1994. The name was changed to Indotech Capital Market Limited vide resolution passed on 3/2/96 in terms of Section 21 of Companies Act, 1956, & fresh Certificate of Incorporation was obtained on 8/2/96 from Registrar of Companies.

PRESENT BUSINESS OF THE COMPANY

The Comp. is presently engaged in investment of shares and securities through primary & secondary market operations & providing consultancy & other services related to financial investments.

The Comp. is registered with RBI & has been classified under the category of 'INVESTMENT COMPANY' vide their letter No. DFC[Boms] No. R-415/BM[Gs]IC[Ms]-845-95-96 dtd. 17/08/95.

The Comp. has been granted permission by National Stock Exchange of India Limited vide its letter No. NSE/CM/8346 dtd. 29/12/95 for trading in Capital Market Segment.

The Comp. proposes to acquire Ahmedabad Stock Exchange membership card from Mr. Jeetendra Mistry, one of the Promoters of Comp. & ASE card holder since 1986. The Comp. has executed Memorandum of Understanding on 30/06/95 with Mr. Jeetendra Mistry for purchase of later's entire running business of dealing, trading & working in shares & securities in the name of proprietary concern 'M/s. Jeetendra C. Mistry' & Card No. 124 of Ahmedabad Stock Exchange at a total consideration of Rs.13.00 Lakhs & Rs.35.00 Lakhs respectively.

The Main Object Clause of Comp. & Clause No. 12 & 17 of Other Objects as set out in the Memorandum of Association of Comp. & mentioned elsewhere in the Prospectus enable the Comp. to undertake the activities for which the funds are being raised for present issue and also the activities the Comp. has been carrying on till date.

2001 - The Comp. has approved amalgamation of Netvision Web & Technologies Pvt Ltd, a Comp. engaged in computer education & software development with the company, subject to necessary approvals.
