History of Om Sindhoori Capital Investments Ltd.

Incorporated on 8th April 1988 under the name & style OM SINDHOORI CAPITAL INVESTMENTS PRIVATE LIMITED. The Comp. was converted into a Public Limited Comp. vide special resolution passed on 23rd March 1992 & change of name certificate issued by Registrar of Companies, Madras on 8th June 1992.

MAIN OBJECTS OF THE COMPANY:

The main objects of Comp. in terms of its Memorandum of Association to be pursued on its incorporation are:

1. To carry on the business of an investment Company, in all its branches & without prejudice to the generality of foregoing to buy, underwrite, invest in & acquire & hold, lease, sell & deal in shares, stocks, debenture stock, bonds, obligations & securities issued or guaranteed by any Government, State, dominions, commissioners, public body or authority, municipal, local or otherwise, firm, company, association, or person in India or elsewhere & to act as technical consultants for selecting, acquiring & installing of all kinds of equipment & to act as financial consultants, investment advisers, bonds & securities & to render any kind of management & consultancy services concerning forgoing matters & things, but not to carry on Banking business as defined under Banking Regulation Act, 1949.

2. To carry on financing operations & perform financing services including factoring, making loans, both short term & long term, underwriters & brokers of stocks, shares, debenture-stock, Government Bonds, Unit Trust, National Saving Certificates, etc.

3. To carry on the business of hire purchase, leasing & letting on lease of movable properties of all kinds including plants, machinery, cold storages, refrigerators, air-conditioning machinery & equipments, internal communication systems & equipments, furnitures & fixtures, computers, computer programmes, software, office equipment of all kinds, security systems, tractors, trollies, threshers, driers, earth moving equipments, construction equipments, mining equipments, material handling equipments, power generators, public address systems, cinema equipments, hotel equipments, medical equipments & motor vehicles of all kinds of including motor cars, motor buses, motor lorries, motor cycles, autorickshaws & any other type of vehicles.

4. To finance the industrial enterprises by way of lending & advancing money, machinery, land, building shed or such other things as may be required by such industrial enterprises either with or without security & upon such terms & conditions as the Comp. may think fit & to guarantee or contract, entered into by any industrial enterprises with any financial institutions, banks or other parties for obtaining finance whether for its long term capital, working capital or for any deferred payment finance.

5. To carry on the business of rendering consultancy service related to finance, investment, corporate affairs in all its aspects.

PRESENT BUSINESS OF THE COMPANY

OM Sindhdoori Capital Investments Limited was incorporated as a Private Limited Comp. on 8.4.88. It was promoted by Dr Prathap C Reddy. Subsequently during 1994 M/s Apollo Hospitals Enterprise Limited & M/s Om Sindhoori Hotels Limited joined the Comp. as major shareholders with the object of entering the financial service sector & also for strengthening the Company.

It got converted into a Public Limited Comp. on 23.3.92. The Comp. is headed by Dr Prathap C Reddy. The day to day activities are controlled by a team of professionals. The Comp. was floated with the main objects of dealing/investment in securities, to carryout equipment leasing & hire purchase business & financing against securities & is a non-banking financial Comp. & is governed by non-banking financial companies [Reserve Banks] Directives, 1977 & subsequent directives issued by Reserve Bank of India.

The Comp. actively commenced its business in 1992 & is engaged in financing against securities, investment in securities & spot purchase & sale of securities. The entire operations including other income denote income from financing against securities mainly on short term basis., excepting a sum of Rs.7.l0 lacs denotes income from lease financing.

2000 - The Comp. proposes to merge with Apollo Sindhoori Capital Investments Ltd., a closely-held public limited Comp. & to list the securities in Chennai & Mumbai.
