History of Pentasoft Technologies Ltd.

1995

- The Comp. was incorporated on 5th April 1995 as a Public Limited Company. The certificate dated 2nd May, for Commencement of Business was obtained. Pentafour Communications Limited is promoted by Mr. V. Ramakrishnan & his associates & the Companies of Pentafour Group promoted by same associates.

1997

- The Comp. also has a tie-up with Divicom of US for supply of satellite uplink equipment & set top boxes. The Comp. has a tie-up with John Brown Associates [JBAs] to distribute its ERP solution Systems 21 in India. The Comp. has a tie-up with Prodart, US, who supply the hardware.

- The Chennai-based Comp. signed a agreement with Simoco International Group to offer Simoco products as a part of its solutions.

- To part finance the above activities, PCL came out with a public issue of 12.75 lakh shares of Rs. 10 each aggregating Rs. 1.27 crores during December 15, 1995.

- PCL also develops communications software. It has developed voice communication software for NEC Corporation of Japan, which enables voice communication between PCs, which are a part of Local Area Network [LANs].

1998

- Pentafour Communications, engaged in the business of computer education, hardware sales, services & software development including internet & communication related activities, has reported impressive results in the 12 months ended 31st March.

- The Comp. has a tie-up with Siemens for switching & video conferencing, Simoco for wireless equipment, Comsat Max for VSAT & AT & T for structured cabling. On the education side, it has a tie-up with Pro Engineering & Auto Desk.

- PCI has entered into a business partnership agreement with Gulf Business machines, Dubai & Saudi Business machines for software development & projects. PCL has also teamed up with Jeraisy group, Saudi Arabia, & Hi-Tech, Beharin, for projects & consultancy. It is opening an office in Detroit, USA, before September end for carrying out consultancy & projects in the country.

- The Comp. has state of art infrastructure - five mainframes [S/390s] & several client servers & PCs to back up their training division.

- Pentafour Communication Limited [PCLs] is traditionally a system integration company. However there is refocusing of strategic business activities & though system integration will still play an important role, it is training & CAD/CAM/CAE which will see faster growth in the coming years.

- PCL has tie-ups with global leaders like IBM. Synon Sybase, Compaq, Obsydian, Apple Developer University, Parametric Technology, Autodesk Inc., etc. PCL also has state of art infrastructure. There are five mainframes [IBM S/390s] & thirty five mid-range servers [IBM AS/400s], Netfinity 7000, RS/6000 & 3000 Personal Computers. - PCL has tied up with Gulf Business Machines [IBM-Gulfs], Saudi Business Machines [IBM-Saudi Arabias], IBM-Bangladesh & IBM-Sri Lanka for training & onsite projects. The Comp. also has tie-ups with Parametric Technology Corporation, Silicon Graphics & IBM for its CAD/CAM division.

- PCL has set up offices in Singapore & Malaysia & is expecting to open two more in the US - one in Atlanta for training on IBM Streams and Process Controls & the other in Detroit for CAD/CAM/CAE & GIS.

1999

- Pentafour Communications Ltd [PCLs] has completed the allotment of 30 lakh equity shares of Rs. 10 each on a preferential basis at a price of Rs. 160 per share aggregating Rs. 48 crores, according to a company statement.

- When Chennai-based Pentafour Communications Ltd [PCLs] lost its bid for basic telephony services for Tamil Nadu circle after having tied up with Alcatel & Deutsche Telecom it turned out be a blessing in disguise.

- The Comp. recently launched knowledge-based training [KBTs] centres, which primarily focus on client-server technology. Pentafour has also tied up with IBM as authorised training partner for conducting e-business training at its offices at Chennai, Bangalore, Hyderabad, Thiruvananthapuram, Delhi & Calcutta.

- Pentafour Communications Ltd is entering the market with low-end multimedia applications for touchscreen kiosks. PCL general manager AS Ramaseshan said that an agreement was signed with IBM in July to source the hardware.

- PCL does multimedia presentations for corporates, develops sites with multimedia applications & recently signed on Sun TV & other allied channels -- Udaya, Gemini, Surya -- for special effects in election programmes.

- Multimedia major Pentafour Communications Ltd [PCLs] has become a debt-free Comp. after repaying its entire high-cost loan outstandings of Rs 28 crore via earnings from a preferential issue in March this year.

- The Comp. has established 63 'Pentasoft' Training Centres in India and 4 Centres in Abroad. These Training Centres offer broad range of high-end courses certified by Software majors like IBM, Microsoft, Silicon Graphics, Synon, Parametric Technology & Visionary Design, etc.

- The Comp. has started training on CAD/CAM/GIS & Process Control/Embedded Software training in all its Regional Training Centres with heterogenous mix of Softwares such as IronCAD, Pro-E, IDEAS, CATIA, Arc Info. Further, your Comp. has established Training Centres of Excellence in SJCE, University of Mysore, Anna University as a part of Corporate Training Programme.

- The Comp. had tied-up with the Global Business Partners forTraining activities. Such as: IBM, Sybase, Microsoft, Synon, Sun, Parametric Tech., SCRC, ESRI Info Visionary Design. - The Comp. has been rated by IBM as their No.1 Business Partner for the sale of IBM AS/400 machines in the Education & Training Sector. - The Comp. has allotted 30,00,000 Equity Shares of Rs.10/- each at a price of Rs.160/- per share on Preferential basis to FIIs/OCBs/MFs/Corporate Bodies aggregating to Rs.48 Crores.

- Mr. D .Gopalakrishnan, Mr. S.R. Seetharam & Mrs. Uma Ramakrishnan have resigned from the Board of Directors of Comp. during the year.

2000

- Pentafour Communications Ltd has changed its name to Pentasoft Technologies limited According to the statement, the name change is to reflect the acquisition of software division of erstwhile Pentafour Software and Exports Ltd.

- The Comp. has formed a joint venture with Acumen of Botswana to meet demands of African continent. The venture is particularly looking at projects in governments.

- It has also signed a software provider agreement with Hewlett.

- India Pentasoft Technologies Ltd [PTLs] has tied up with Israeli company, Smart Solutions Inc, for marketing & implementing its Product Data Management [PDMs] solution 'SmarTeam' in India.

- It has also tied up with the Export Promotion Zone Development Authority [EPZDAs], Mauritius, to provide IT solutions to existing clients of authority.

- 3CRC Technologies, the engineering & interactive software division of Pentasoft Technologies Ltd., has launched a training programme in the area of computer aided design, computer aided manufacturing, computer aided engineering.

- Pentasoft Technologies limited launched its integrated hospital management software, `Care+Cure', in Kerala.

- The Comp. has launched a joint venture firm, 3B Soft, for developing & marketing Internet-based enterprise solutions products.

- 3CRC, the Engineering & Interactive Division of company, has opened a development & marketing office in Bangalore.

- The Comp. has allotted 33,54,450 Equity Shares of Rs.10/- each at a premium of Rs.788/- per share on Preferential basis to NRIs/FIIs/OCBs/MFs/Corporate Bodies aggregating to Rs.267.69 crores and 66,45,550 Equity Shares of Rs.10/- each at a premium of Rs.788/- per share for consideration other than cash to M/s. PentaMedia Graphics Limited.

- The Comp. has entered into an agreement with Central Depository Services Limited apart from National Securities Depository Limited [NSDLs] to facilitate the holding & trading of Company share in electronic form with the same ISIN No. INE408A01017.

- The Comp. has obtained ISO 9001 certificate for its design, development, implementation & maintenance of Education and Training, Software Development, Networking and Systems Integration in the areas of Communications, Business Software, CAD/CAM & Process Control.

- Dr. Karthik Ramani & Mr. Ram Narayan have resigned from the Board due to their Pre-occupation with overseas assignment.

2001

- The Comp. has entered into an agreement with Lotus Development International Corporation to offer Lotus authorised courses. - Pentasoft Technologies Ltd has signed an agreement with the Macau University of Science & Technology, China, to provide IT training to mainstream students in & around Taiwan, Hong Kong & Mainland China and to undertake projects related to research & development in information technology.

- Pentamedia Technologies has entered into an agreement with the Macau University of Science & Technology, China with a two-pronged objective of providing IT training to mainstream students in & around Taiwan, Hong Kong, Korea & Mainland China & undertaking projects related to Research & Development in Information Technology, according to the BSSE India website.

- The Comp. has entered into an agreement Credence analytics, an Investment Technology solution provider to provide i-Deal a fully integrated front, middle & Back office Treasury Management system.

- Software services & training firm Pentasoft Technologies said it was restructuring operations by cutting low-productivity jobs and switching most employees to a variable wage to beat the slowdown.

2002

- S Ravichandran, whole-time director [finances] at Pentasoft Technologies Ltd has resigned from the company. His exit, according to sources, was on personal grounds.

-Pentasoft Technologies Limited has informed the Exchange that Mr. R Vijayakumar, General Manager-Finance has been appointed as Comp. Secretary w.e.f. July 08, 2002 & he will be the Compliance Officer.
