History of Pertech Computers Ltd.

YEAR EVENTS 1983 - Pertech Computers Limited [PCLs] was incorporated on 29th September, & obtained the Certificate for Commencement of Business on 12th October, 1983. It was promoted by Dodan Bhai along with Bikram Dasgupta & a group of professionals.

- The Comp. has a strategic alliance with DELL Computer Corp., USA for selling their full range computer products in India.

1987 - The PCL set up a software development centre at Okhla, New Delhi for development of customised software. PCL has entered into marketing tie-ups with Wordperfect Corporation Inc., USA and Parametric Technologies, Inc., USA for software sales and technical support for their products in India besides distribution tie-ups with Ingress Corporation, USA, SCO systems USA & Opus systems, USA for marketing their products in the domestic market.

1994 - The Comp. undertook to set up a software export project. The Comp. proposed to undertake multimedia software projects, Downsizing software projects from super computers mainly from Finance Industry, RDBMS/4GL/Case Tools/OOP/Client Server based projects for system development centre etc.

- The Comp. undertook to set up a computer manufacturing unit on a piece of land at Verna Industrial area, Goa.

- Mindware Pertech Inc. USA, Mindware PCL PTE - Ltd., Singapore, PCL Informative Technology [PTYs] Ltd., S. Africa & PCL Mindware International Ltd., UK are wholly owned subsidiaries of the Company.

- 17,00,000 No. of Equity shares issued, subscribed & paid-up. 63,00,000 bonus equity shares issued in proportion 63:17. 120,00,000 No. of equity shares of Rs 10 each were then issued at a premium of Rs 50 per shares as follows: On Firm Allotment Basis: [is] 6,61,133 shares to promoters, directors etc., [iis] 22,67,773 shares to Financial Institutions, [iiis] 18,32,227 shares to Indian Mutual Funds. [ivs] 20,82,667 shares to FII/OCB. Another 1,56,200 shares issued to employees on preferential allotment basis [only 1,43,300 shares taken ups]. Balance 50,00,000 shares along with 12,900 shares not taken up by employees were issued to the public [all were taken ups].

1995 - The Comp. launched 'PRODIGY' a product focussing on developing & nurturing a child creativity especially in view of fast emerging quick growth home market.

- On the technology front, the Comp. formed 'Virtual Corporation' an informal alliance of leading technology providers. 'Mindware' the Company software division caters to Client Service Architecture, Business Applications Systems, Software Networking and Communications, etc.

- The Comp. launched retailing revolution through Millenium PC's.

1996 - 20% Redeemable Pref. shares issued.
