History of REIL Electricals India Ltd.

YEAR EVENTS 1975 - The Comp. was Incorporated & converted into a public limited Comp. on 5th March.

- The Company object is to manufacture generators/alternators, starter motors, voltage regulators & components thereof and head lamps.

- The Comp. was promoted by Bhupinder Singh Sahney & his family in technical & financial collaboration with Paris-Rhone S.A. of France.

- The Comp. entered into a technical & financial collaboration with Paris-Rhone S.A., France under which they subscribed to equity capital of Comp. to the extent of Rs.16.50 lakhs [28.7%s]. They also agreed to provide complete technical know-how drawings, designs & technical documentation for manufacture of generators/alternators, starter motors & voltage regulators.

1979 - 1,65,000 shares taken up by promoters, directors etc. & 1,65,000 shares subscribed for by Paris-Rhone S.A. France. 12,500 pref. & 2,45,000 No. of equity shares offered at par to to the public in December 1978. Pref. shares redeemable after 12 years but before 15 years from the date of allotment. 20 Pref. & 48,350 No. of equity shares forfeited.

1983 - The Comp. entered into a technical collaboration with the Paris-Rhone S.A., France, for introduction of latest and most modern design of products at a new plant to be set up at Dharuhera in Haryana.

- Government then gave its approval to the second Dharuhera plant at Haryana in collaboration with Paris-Rhone S.A., France. It had obtained registration from the Government of India to manufacture motor assemblies & small motors at Haryana with the existing collaboration of EA Marchal, France.

1987 - The Comp. made reference to BIFR under the Sick Industrial Companies [Sp. Provisionss] Act, 1985.

1988 - BIFR had in its hearing directed IDBI to formulate a package for rehabilitation.

1992 - 2,00,000 No. of equity shares allotted on conversion of unsecured loans of promoters. 12,500 shares were to be redeemed on 15th February couldn't be redeemed as per Comp. law board's order fresh 33,125 shares allotted redeemable on 15th February, 1995.

1994 - The Comp. proposed to modernise & expand manufacturing capacity & improve its R&D facilities in order to cater to the increased demand. A new manufacturing unit was set up in Pondicherry.

- 12,500 - 11% cumulative redeemable preference shares were to be redeemed on 15th February, 1992 but couldn't be redeemed. As per Company Law Board Order, fresh 33,125 - 11% cumulative redeemable preference shares were allotted. These are to be redeemed on 15th February 1995.

- 2,00,000 No. of equity shares issued.

2001 - Allotment of 3,00,000 cumulative non-convertible redeemable preference shares of Rs 100 each fully-paid on private placement basis to Mr. B.S. Sahney & family. Allot 3,87,428 No. of equity shares of Rs 10 each fully paid to the foreign collaborator, Delco Remy America/Remy India Holdings, at a premium of Rs 34.15 per share as per SEBI guidelines.
