History of RPG Transmission Ltd.

YEAR EVENTS 1951 - The Comp. was incorporated on 12th May, at Chennai. It became a private limited Comp. with effect from 1st April, 1956 and the word `Private' was deleted from the name with effect from 18th March, 1961 under section 43A of Companies Act. It was converted into a public limited Comp. on 20th March, 1973. The Main objects of Comp. is to manufacture power transmission line towers, construction of power transmission lines and electrification of Railways.

1954 - The Indian Railways launched their major electrification schemes during the year & their first contract for electrification of the Howrah-Burdwan section on 3000 volts D/C traction was awarded to the Company.

- The Indian Railways changed over to electrification on 25 KV A/C traction system. The first contract of Railway electrification on 25 KV A/C traction for Group 1, 2 and 3 [supply and erection of 25 KV A/C traction overhead equipment including switching stations on the Durgapur-Gaya section of Eastern Railways], was also awarded to the Company. The Comp. has been the biggest contractor for railway electrification in the Country.

- The Comp. has electrified 1085 KM route of total of 1441 KM of railway track between Howrah & Delhi.

- The Comp. executed the country first contract for design, manufacture, supply & construction of 400 KV transmission line between Obra & Sultanpur.

1964 - The Comp. was engaged only in construction of power transmission lines with steel towers & structures manufacture by others. The Comp. developed its own design office and extended its activities from construction to design, engineering, manufacturing & supply of power transmission line towers by setting up its own manufacturing unit in Deori near Jabalpur in Madhya Pradesh & later its own galvanizing plant which was recently modernised under the guidance & know-how of Societe Anonima Electrificazione S.p.A., Milano.

- The installed capacity of Company works for manufacture of power transmission line towers & parts is 27,000 tonnes per annum.

- The Comp. simultaneously extended its field of activities in construction of radio towers, power houses, booster stations, LT supply transformer stations, sub-station structures, microwave towers, industrial sheds & other allied activities.

1978 - In Oct. 2,50,000 shares of Rs 10 each issued as bonus shares in prop. 5:1. 2,15,000 shares of Rs 10 each were then issued for cash at par to E.I.D. Parry, South India Viscose & employees of the Company.

1979 - 2,35,000 shares offered at par for public subscription during January.

1980 - The Comp. was granted an industrial licence to set up a rolling mill to roll smaller steel sections for captive consumption. Steps were also being taken to set up own manufacturing facility for nuts & bolts required for construction of power transmission lines.

1983 - 3,00,000 No. of Equity shares of Rs 10 each at a premium of Rs 10 per share were issued during the year on a rights basis linked to the issue of 1,50,000-15% redeemable non-convertible debentures of Rs 100 each.

1987 - In Sept./Oct. 1988, 5,80,500 No. of equity shares issued [prem. Rs 50 per shares] as follows: [is] 5,40,000 shares on Rights basis in prop. 3:10; [iis] 27,000 shares to employees/workers of the Comp. & [iiis] 13,500 shares to Electrofin Societe Anonima Finanziaria Holding, Sugano, Switzerland. 87,075 additional shares allotted [prem. Rs 50 per shares] to retain oversubscription [81,000 shares to employees/workers & 2,025 shares to Electrofins].

1988 - An illegal strike by employees of Comp. at Deori for about a month in September/October.

- The Comp. placed privately 14% secured non-convertible debentures for a total value of Rs 400 lakhs with the following bodies: [is] debentures worth Rs 200 lakhs with SBI capital Markets, Ltd.; [iis] debentures worth Rs 100 lakhs with Army Group Insurance Directorate & [iiis] debentures worth Rs 100 lakhs with Naval Group Insurance Fund.

- It was proposed to merge the Comp. with Asea Brown Boveri, Ltd.

1989 - 24,67,575 bonus equity shares issued in prop. 1:1.

1993 - 49,35,150 bonus shares issued in prop. 1:1 in July 1994. Another 24,63,996 rights shares issued [prem. Rs 90 per shares] prop. 1:2 in October 1994.

1996 - As a part of its diversification project, the Comp. has successfully commissioned its first 2.75 Mns. wind mill for generation of power through non-conventions sources at Poolvadi in Tamil Nadu.

- It was proposed to merge the Comp. with KEC International Ltd. in the exchange ratio of 85 shares in the amalgamated Comp. for every 100 shares held.

- 1,741 rights shares kept in abeyance issued. 150 rights shares kept in abeyance issued. 2002

-R C Agarwala appointed as Compliance Officer of RPG Transmission.

-Acquistion of Shares by Blue Niles Holdings Ltd.

2004

-RPG Transmission Ltd has informed that the Delhi Stock Exchange Association Ltd., New Delhi, has confirmed delisting of Company shares from the Exchange with effect from December 29, 2003.

2006

-RPG Transmission receives new order worth Rs 1100 mn from PGCIL

2007

-RPG Transmission secures orders from Power Grid Corporation of India
