History of Raajratna Metal Industries Ltd.

YEAR EVENTS 1988 - The Comp. was incorporated on May 9, under the name & style of Raajratna Chemicals Private Limited under Companies Act, 1956 to manufacture chemicals.

- The promoters later on decided to change the product line to manufacture Stainless Steel Wires due to better prospects & easy availability of Row Material & accordingly, the Company name was changed to Raajratna Metal Industries Private Limited [hereinafter referred to as 'Raajratna's] on 21st February, 1989.

1990 - 'Raajratna' commenced its manufacturing activities on 8th February, with an installed capacity of 720 MT per annum to manufacture Stainless Steel Wires.

- 'Raajratna' manufactures Stainless Steel Wires from 0.19 mm to 7.0 mm in all authentic grades as per international standards & customers' specification.

- 'Raajratna' emerged as a Leading Manufacturer & Exporter of Stainless Steel Wires in India. The Comp. commenced export in the year 1991-92 & was awarded the Regional Export Excellence Certificate from Engineering Export Promotion Council in the year 1991-92 itself.

1992 - The Company commitment to quality & growth has earned EEPC All India Special Shield for Export Excellence for year 1992-93 & All India Certificate of Export Excellence for year 1993-94 as well as Regional Top Exporter Shield by EEPC for outstanding export performance of Stainless Steel Wire during 1993-94. 'Raajratna' is also the recipient of shield for Export Excellence for year 1992-93 from the Gujarat Government.

1994 - The Comp. was awarded the Government recognised Export House Status.

- The Comp. became a deemed Public Limited one from 6th June, 1994 & thereby its name & status changed to 'RAAJRATNA METALS INDUSTRIES LIMITED'.

- The Comp. is converted into a Public Limited Company, with effect from 14.10.94 vide special resolution passed by members at the Extra Ordinary General Meeting held at the Registered office of Company.

- The Comp. is carrying out expansion to increase the capacity to 5420 M.T. per annum to manufacture Stainless Steel Wires as well as diversifying its product line.

- The Comp. has been awarded ISO 9002 Quality System Certification from BIS which also has the accerditation to RNS Holland.

1995 - The Comp. has been awarded Regional Top Exporter Shield and All India Export Excellence Certificate.

- During the year under review 14,15,000 Equity Shares of Rs. 10/- at a premium of Rs. 65/- were allotted to M/s Videocon International Limited & M/s Videocon Appliances Limited. They had offered for sale 11,87,500 Equity Shares of Rs. 10/- each at a premium of Rs. 95/- per share to Public aggregating to Rs. 1246.88 lacs.

- The Comp. is converted into Public Limited Comp. with effect from 14.10.94 by passing resolution at the Extra Ordinary General Meeting of Share Holders.

- The Comp. has taken Key Man Insurance Policy on the life of Directors & paid a premium of Rs.6,94,890/-, which is included in Insurance expense account.

1996 - The Comp. has increased its installed capacity of S.S. Wires/Bars during the year from 5420 MT per annum 8400 MT per annum. The Comp. is also installing machineries to manufacture S.S. Bright Bars increasing its installed capacity further by 1200 Mt.

- The Comp. has been awarded Regional Top Exporter Shield & All India Certificate of Merit for 94-95 from Engineering Export Promotion council.

- The Comp. has been selected for National Export Award to be awarded by the President of India for its outstanding export performance for year 1994-95.

1997 - The Comp. has been awarded ISO 9002 Quality System Certification from BIS which also has the accerditation to RNS Hollnad.

- The Comp. has been awarded Export Excellence Certificate for achieving highest export performance during 1995-96 amongst the Non-SSI exporters in Steel Wire products.

- The Comp. has Gas Fired and Electric Bright Annealing Furnaces for annealing Stainless Steel Wires and Bright Bars achieving higher efficiency reducing heat loss.

1998 - The Comp. has been awarded Export Excellence Certificate by EEPC for achieving highest export performance during 1996-97 amongst the Non-SSI exporters in Steel Wire & Electrical Products, besides State Govt. Export awards.

- The Comp. has Gas Fired and Electric Bright Annealing Furnaces for annealing Stainless Steel Wires and Bright Bars achieving higher efficiency & reducing heat loss.

1999 - During the year the Comp. has been awarded Export Excellence Certificate for achieving highest export performance for 1997-98 amongst the Non-SSI exporters in Steel Wire & Electrical Products.

- The Comp. has been upgraded and awarded Trading House status from 01/04/99.

2000 - The Board has decided to buyback 8,90,800 No. of equity shares of Rs 10 each fully paid up at a price not exceeding Rs 60 per share.
