History of Rajhans Foods Ltd.

YEAR EVENTS 1991 - The Comp. was Incorporated in the name of Rajhans Roller Flours Mills Pvt. limited on 24th January. Its name was changed to Rajhans Foods limited and was converted into a public limited Comp. on 18th January 1995. The objects of Comp. manufacture of grain products of various qualities.

1992 - The Comp. started manufacturing wheat products by installing separate plant for said purpose. The plant has a capacity of 60 tpd of besan & 40 tpd of maida/wheat. The finished products are besan, sooji atta maida, rava under the brand name `Swagat` & Rajhans. It was promoted by Dinesh Pitolwala, Ghanshyam Pilolwala, Harshad O Modhia.

1995 - The Comp. undertook to expand the capacity of maida/wheat unit to 60 tpa. It was also proposed to install a separate wheat cleaning plant for maida unit apart from installing some additional mailing. In addition, it was also proposed to install a new whole mill atta plant of 40 tpd to produce whole mill atta.

1996 - 7,50,000 shares allotted to promoters 22,50,000 No. of equity shares of Rs.10 each were issued through a prospectus during August 1995 at a premium of Rs.10 per share of which 7,50,000 shares reserved & allotted for directors, their friends etc. Of the remaining the following were reserved for allotment of preferential basis:

- [iis] 3,00,000 shares to Indian Mutual Funds [None were taken ups];

- [iiis] 80,000 shares for Indian Financial institution [None were taken ups] and

- [ivs] 10,000 shares to employees [all were taken ups]. Balance 7,50,000 shares along with 3,80,000 shares not taken up under preferential quota issued to the public.
