History of Rap Media Ltd.

The Comp. was incorporated on December 28, 1994 with the Registrar of Companies, Maharashtra at Bombay [ROCs] as a Private Limited Company. The Comp. was subsequently converted into a Public Limited Comp. by passing a Special Resolution in the Extra-Ordinary General Meeting held on March 10, 1995 & a Certificate of change of name consequent to such conversion was obtained from the ROC on April 4, 1995.

Present activities

The Comp. is yet to commence its mainline activities as per the medium term business plan finalised by Management of Comp. for implementation during the next three financial years. The Comp. was incorporated on 28.12.1994 & the promoters equity Contribution of Rs. 90 lakhs was brought in on 02.01.1995 & the same was utilised for paying the security deposit for office premises for Company, the details of which are furnished separately. Additional contribution of Rs.1,60,00,000/- towards equity capital of promoters was received by Comp. on 18th August, 1995. As an immediate avenue for deployment of these liquid funds available with the Company, the Board of Directors of Comp. in their meeting held on 18th August, 1995, decided to use the funds for purchasing on 'spot basis' certain Equity Shares & Mutual Fund units from M/s. Arora Corporation, one of proprietory group unit owned by promoter and Managing Director, Mr. Rupinder Singh Arora. These shares/units were acquired by Arora Corporation earlier through primary market investments and secondary market buying & the same were bought by Comp. on 'actual cost' basis from Arora Corporation without adding any holding charges/costs.
