History of Rupangi Impex Ltd.

YEAR EVENTS 1989 - Rupangi Impox Limited [Rupangis] was incorporated as Rupangi lmpex Pvt. Ltd. on 1st August, under the Companies Act, 1956 & was converted into Public Limited Comp. vide Resolution dated 05/07/94 & Certificate of change of name dated 18/08/94 was obtained from Registrar of Companies, Gujarat, Ahmedabad.

- The Comp. is promoted by Shri Radheshyam L. Kabra, as the chief promoter, with Shri Motilal L. Kabra, Shri Ramprakash L. Kabra & Shri Gopal M. Kabra as co-promoters.

1990 - The Comp. was carrying trading activities.

1991 - The Comp. commenced manufacturing operations in April by installation of two bold rooms for menthol crystalisation with an aggregate capacity of 50.4 tpa of menthol crystals.

1993 - The Comp. further expanded its capacity by installation of two bold rooms & one distillation column of half tonne capacity, increasing the aggregate installed capacity to 100.8 tpa of menthol crystals & 180 tpa of peppermint oil blends.

1994 - With the installation of fifth bold room, in April 1994, the present installed capacity has increased to 126 tpa of menthol crystals & 180 tpa of pepermint oil blends.

- In February, the Comp. entered into an agreement with Procter & Gamble India Limited [P and Gs] for use of latter Trademark 'GANESH' in selling company Menthol bold crystals & Peppermint oil blends for an initial period of 10 years.

- The Company, at present has facilities to manufacture menthol bold crystals and peppermint oil blends with an installed capacity of 126 tpa & 180 tpa, respectively at GVMM estate, Odhav, Ahmedabad.

- The Comp. now proposes to expand its activities by setting up facilities at the adjoining plots envisaging increase in capacity of menthol bold crystals to 402 TPA & peppermint oil blends of various grades to 568 TPA.

- The Comp. had brought out a Public Issue of 15,37,500 No. of Equity Shares of Rs. 10/- each at a premium of Rs. 5/- per share aggregating to Rs. 230.625 lacs in the month of November, 1994 to finance the Company expansion project of increasing the installed capacity to manufacture Menthol Bold Crystals & Peppermint Oil Blends.

- The Comp. has set-up a very sophisticated Inhouse Research and Development Laboratory with a few imported equipments.

1995 - The Comp. has decided to diversify into the manufacture of Cement.

1997 - Shri Jayesh Vyas, Shri Laljibhai L. Vora, Shri Jayesh H. Shah resigned as Directors with effect from 7th August, 1996. Shri S.P. Pandya resigned as a Director with effect from 31st May, 1997.

- Shri C.D. Patel, the Managing Director whose term expired on 30th June, 1997 has resigned as a Director with effect from 29th July, 1997.

- The Board of Directors at their meeting held on 29th July, appointed Shri Radheshyam L Kabra as Managing Director, for a period of five years with effect from July 1.

1998 - Shri Jeevraj Kanungo resigned as a Director of Comp. with effect from 2-5-1998.

2000 - Mr. Gopal M. Kabra, Managing Director has resigned as a Director of Comp. & Mr. Govindram L Kabra has been appointed as Director of company.

- The Board has decided to issue up to 11,25,000 No. of equity shares of Rs 10 each at Rs 18 per share subject to the approval of shareholders.
